BFCH Takes Aim At The $6.6 Billion Energy Shot Market

When we covered UNLOCKD Inc. (OTCID: $BFCH) in August, the company had just packed the Morning Magic mushroom coffee from its Ancient Extracts brand into K-Cups and was lining up EVERMIND, its cognitive formulation, as the next product to reach the store. Now BFCH has made its next move, a binding letter of intent to acquire 1ENERGY, a two-ounce energy shot sold under the line "Energy Without the Edge." The acquisition will bring the portfolio the company has been describing since the start to three brands, and the newest brand goes into the only corner of the energy business that has had a single owner for twenty years.

1ENERGY delivers 111 mg of organic caffeine along with L-theanine, guarana, and B vitamins, about as strong as a cup of coffee packed into a pocket-sized bottle. The current formula rounds that out with 40 mg of nano CBD to take the edge off the caffeine, and CBD is the one ingredient BFCH plans to replace. In its place the company is looking at functional mushrooms, adaptogens, and nootropics (the same ingredients Ancient Extracts already buys for its coffee), so the reformulation starts from a supplier list BFCH already has. Taking the CBD out also removes the reason national chains turn these drinks down and Amazon keeps them off the site, and Amazon is where the rest of the portfolio already sells. Everything else, the brand, the packaging, the creative, and the manufacturing know-how, arrives finished. Someone else spent years and their own capital getting 1ENERGY to this point, and BFCH is picking it up for the price of a formulation change and a first production run.

Functional shots like 1ENERGY are a $6.6 billion category, and Grand View Research expects it to reach $19 billion by 2033 at 16.2% a year, a faster clip than energy drinks as a whole. One product has owned the category since 2004, when 5-hour Energy invented the format and went from nothing to $1 billion in retail sales in eight years, taking 90% of the shot market on the way, a share it still claims today on Nielsen data. That leaves a category with one incumbent, no clean-label leader, and twenty years of buyers who have never been offered a shot built on organic caffeine and mushrooms. Even with that grip on the category, the incumbent now pitches its newest shots on energy without the jitters or the crash, which is the promise 1ENERGY was built around from the start. The buyer 5-hour Energy is chasing now is the one 1ENERGY was designed for, and the mushroom reformulation gives the shot an ingredient story the incumbent has never run.

The shot arrives on top of Ancient Extracts, a wellness brand selling mushroom coffee, shilajit, and matcha into categories TikTok and Amazon had already made popular. The demand was waiting when BFCH took over, and sales grew 76% in the brand's first month under the company. BFCH has since more than tripled the catalog to 72 SKUs, pushed the brand across Amazon, TikTok Shop, Meta, and its own site, and sizes the K-Cup line alone at nearly $30 million a year once retail distribution lands. EVERMIND, the cognitive formulation Chairman and Chief Science Officer Dr. Jordan P. Balencic designed around 2,000 mg of Lion's Mane, was built for the same customer, and the company pegs the line at $15 million to $30 million a year. The formula is done, and the company is leaning toward a coffee creamer as its next form, a brain-health add-in for the coffee its customers already brew, sold beside the Morning Magic pods. That is the business the shot is joining, a brand with sales already growing and a second product sized in the tens of millions before its first unit ships.

Christian Struzan, the brand strategist who built 1ENERGY, spent most of his career in entertainment marketing, where the advertising agency he founded ran campaigns for the Star Wars franchise and Fight Club and did brand work for Guinness and Stella Artois before he moved into consumer products himself. He stays on 1ENERGY in a senior brand and creative role and joins BFCH as an advisor, which puts him back alongside John P. Gorst, the CEO of BFCH. The two built Ionic Brands, a Tacoma cannabis company Struzan co-founded and Gorst ran as Chairman and CEO, and took it public in Canada in 2019 holding the number one vape pen brand in Washington State. Ionic added a Zoots CBD energy shot to the lineup in 2021, and by the next year the company had grown into an acquisition target YourWay Cannabis Brands paid a 21% premium to take over.

BFCH has spent the last year putting its plan into action, and the portfolio it set out to build now runs three brands deep. The full lineup goes on sale over the coming year, with the K-Cups that retail category buyers are already holding heading for large-format shelves, the creamer planned to launch beside them, and the reformulated shot coming out of production into a category that has waited twenty years for a second option. With a $60 million projection between the coffee and EVERMIND alone, BFCH's market cap of about $500,000 is less than a week of what its own products are expected to sell, and 1ENERGY's run at a $6.6 billion market is not in that math at all.
